Rangate, Inc. (USA) and RANGATE NORTH WOODWORKING SOLUTIONS INC. (Canada) (hereinafter referred to as "Rangate") GENERAL TERMS AND CONDITIONS OF SALE

Pricing, Terms of Sale and General Delivery

The prices are subject to a change at any time without notice for any non-special or non-"made-to-order" (hereinafter referred to as "standard") items until a sales order has been offered by Rangate and Purchaser has accepted such offer in writing by, including but not limited to, email or in form of agreed deposit listed in such Sales Order. All special or made-to-order (hereinafter referred to as "special order") items pricing may increase depending on product requirement or design change. No cancellation or refund is accepted for any payment including deposit or commitment payment to any special order transactions. Freight/shipping/handling, taxes, Custom and Duty may apply in addition to product pricing listed in Sales Order. Use Tax may apply in Purchaser's jurisdiction, and it is solely in the Purchaser's responsibility to file and pay proper Use Tax directly to Purchaser's tax collection agency or agencies.



State/Harmonized/General/Provincial Sales and All Similar Taxes


Unless otherwise stated herein, Rangate prices in orders do not include sales, use, excise or similar taxes. Consequently, in addition to the price specified herein, the amount of any present of future sales, use excise or other similar tax applicable to the sale or use of the equipment hereunder shall be paid by the Purchaser, or in lieu thereof the Purchaser shall provide Rangate with a tax-exemption certificate acceptable to the corresponding taxing authorities.

Payments


Each shipment shall be considered a separate and independent transaction, and payment therefore shall be made accordingly to its agreement at the time of an order placement or acceptance by agreed deposit. If shipments are delayed by the Purchaser, payments shall become due on the date when the Rangate is prepared to make shipment. If the work to be performed hereunder is delayed by the Purchaser, payments shall be made based on the purchase price and the percentage of completion. Products held for the Purchaser shall be at the risk and expense of the Purchaser if the financial condition of the Purchaser at any time does not, in the judgment of Rangate, justify continuance of the work to be performed by Rangate here under on the terms of the payment as agreed upon, Rangate may require full or partial payment in advance or shall be entitled to cancel any order then outstanding and shall receive reimbursement for its reasonable and proper cancellation charges, and in the event of bankruptcy or insolvency of the purchaser or in the event any proceeding is brought against the Purchaser, voluntary or involuntary under the bankruptcy or any insolvency laws, Rangate shall be entitled to cancel any order then outstanding at any time during the period allowed for filling claims against the estate and shall receive reimbursement for its reasonable and proper cancellation charges. All invoices are due and payable at the time of shipping unless specific terms have been agreed to or granted at the time or order placement by an issued Sales Order. Rangate accepts payment in forms of MasterCard or VISA credit cards or in U.S. Only, the Intuit PaymentNework (pay by cheque online) unless Purchaser has pre-arranged a different method with Rangate at the time of an order acceptance. All special order transactions are not refundable or cancellable once a deposit is initiated as an order acceptance.



Domestics Delivery Terms


Special order items are quoted with "Ex Works" terms unless specified as "Door to Door Pricing" included in the product price. With "Ex Works" pricing, including out-of-country delivering orders, Purchaser are quoted with product pricing and freight (or delivery) pricing separately on its own line item. Delivery pricing will be based on Purchaser's desired delivery date. Purchaser authorizes Rangate to select an appropriate shipping medium and method from factory in attempt to meet Purchaser's desired delivery date. Delivery date is always an estimate with best attempts and is not guaranteed, especially for Ocean Freight shipments. Purchaser will quoted and be responsible for, in addition to product pricing, but not limited to, any inland freight, port receiving charges, forwarding fees, loading fees, transportation and freight fees, foreign port charges, Customs brokerage, duties and taxes, insurance and final delivery charges. Standard items that are to be shipped within the same destination country as Rangate will be quoted with Purchaser-paid Freight/Shipping costs for services being performed by Common Carrier such as UPS, FedEx and Postal Service. Purchaser authorizes Rangate to arrange pickup and delivery with a Common Carrier and charge Purchaser for such pickup and delivery including, but not limited to, packing fees, pickup fees, declared value and/or insurance fee, freight cost, fuel surcharges, residential and/or inside delivery surcharges, special delivery surcharges, lift-gate or other special transport and delivery equipment surcharges, and any holding surcharge prior to any pickup at Rangate's fulfillment location. Purchaser has the right to shipment tracking number(s) and assumes the Common Carrier's delivery terms and condition as well as service level agreements including scheduled vs. actual delivery dates. Purchaser may authorize Rangate to use Purchaser's particular carrier and carrier account; packing and/or special pickup fee may be added to the invoice and collected prior to shipment pickup. No will-call or in-person pickup is offered by Rangate.



International Delivery Terms


Those items for shipment to countries outside of the Rangate company country may be subject to taxes, customs duties and fees levied by the destination country ("Import Fees"). The recipient of the shipment is the importer of record in the destination country and is responsible for all Import Fees. With respect to each item for which Import Fees have been calculated, Purchaser agrees to authorize Rangate to designate a carrier ("Designated Carrier") to act as Purchaser’s agent with the relevant customs and tax authorities in the destination country, to clear the shipped items, process and remit the actual Import Fees for such item. Purchaser will be responsible to paying any Import Fee to the Designated Carrier. Should any item be return due to failure of payment of any Import Fee, any additional fee including, but not limited to, any return freight, customs brokerage and other charges are the responsibility of Purchaser. Such item automatically becomes non-refundable and non-returnable immediately, and Purchaser must make new arrangements with Rangate or a new Designated Carrier to deliver such items. Purchaser further agrees that the Designated Carriers may disclose to Rangate (as applicable) the amount of actual Import Fees levied on the item purchased from Rangate. To obtain details regarding the actual Import Fees, or to obtain documentation or receipts in connection with customs clearance, Purchaser is required to contact the Designated Carrier in Purchaser’s country directly. For products shipped internationally, please note that any manufacturer warranty may not be valid; manufacturer service options may not be available; product manuals, instructions and safety warnings may not be in destination country languages; the products (and accompanying materials) may not be designed in accordance with destination country standards, specifications, and labeling requirements; and the products may not conform to destination country voltage and other electrical standards (requiring use of an adapter or converter if appropriate). Purchaser is responsible for assuring that the product can be lawfully imported to the destination country. When ordering from Rangate, the recipient is the importer of record and must comply with all laws and regulations of the destination country.


Cancellations and Returns


The Purchaser may request a return of an UNUSED and UNOPENED standard item within 30 calendar days upon receipt of such item ONLY upon written notice and upon payment to Rangate of a reasonable and proper cancellation charges including incurred incoming and outgoing freight costs. Upon an agreed written product return agreement between the Purchaser and Rangate, the Purchaser must obtain a Return Material Authorization (RMA) number from Rangate prior to shipping any returning good back to Rangate according to Rangate's return and shipping instruction. For proper and timely credit, the returning shipment must include this RMA number in the returning shipment without exceptions. Cancellation (re-stocking) charge is 25% of the invoiced amount on UNUSED and UNOPENED standard products. No return or refund is considered by Rangate for any special order item, any standard item delivered over 30 calendar days, and any item that is USED or OPENED. Product is considered a special order if it is special ordered or design/made-to-order for a Purchaser in a particular sales order, including any item that has been laser marked with Purchaser’s company name or logo. Any payment associated with special item including any deposit is non-refundable, and such orders are not cancellable regardless of whether the Purchaser has issued any purchase order. Order is considered accepted by Purchaser when Purchaser agrees to proceed with order(s) via a written statement by, including but not limited to, email or with a successful required payment deposit, listed in Sales Order.


Limitation of Liability


Rangate's liability on any claim of any kind, including negligence, for any loss or damage arising out of, connected with, or resulting from this contract, or from the performance of breach therefore, or from the manufacture, sale, delivery, resale, repair or use of any product covered by or furnished under this contract shall in no case exceed the price allocable to the product covered by or furnished under this contract nor exceed the price allocable to the product or part thereof which gives rise the claim. In no event shall Rangate be liable for special or consequential damages.


Security Title


Title and right of possession of the products sold shall remain with Rangate and such products shall remain Rangate's property until all payments (including deferred payments whether evidenced by notes or otherwise) shall have been made in full in each, and the Purchaser agrees to do all acts necessary to perfect and maintain such right and title in Rangate.


Warranty and Product End of Life


All defects are covered under an one-year manufacturer's warranty from the products' INVOICE DATE. Support, spare part and associated accessories are available within two years of this date.
